1. The agreement at a glance
What we are: AgentCore LTD operates the Trust Agent marketplace and audit pipeline. We publish security audits and trust badges for AI agents, roles, and skills submitted by third-party Creators.
What we are NOT: the author, owner, operator, or guarantor of any agent, role, or skill listed on the marketplace. We are an audit and discovery layer — not a content provider.
What you accept: by creating an account or using the platform you agree to these Terms, the Privacy Policy, the Cookie Policy, the Acceptable Use Policy, and the AI Output Disclaimer. If you list listings or sign audits you also agree to the Creator Agreement or Auditor Code of Conduct respectively.
2. Definitions
- Platform — Trust Agent (trust-agent.ai) and the related desktop widget, CLI, MCP server, and APIs operated by AgentCore LTD.
- Creator — an individual or organisation that publishes a Role, Skill, or Agent listing on the marketplace.
- Listing — any Role, Skill, or Agent published on the marketplace, including its prompts, behaviour spec, manifests, and metadata.
- Buyer — anyone who hires, installs, or otherwise uses a Listing through the Platform.
- Auditor — an individual approved by Trust Agent to conduct human-review sign-offs on Listings.
- Audit Certificate — the public, signed record produced by the Trust Agent audit pipeline at
/audits/{id}.
3. Audit certificates: what they mean and what they do NOT mean
The Trust Agent audit pipeline produces a signed, versioned certificate attesting to the rigour of the review applied to a Listing on a specific date and version. The certificate states what was checked, who reviewed it, and what was found.
An audit certificate IS:
- A best-effort security and behaviour review using the published 70-check pipeline (SC-001..SC-070), severity-weighted scoring, optional LLM-judged semantic analysis, and a human auditor sign-off where applicable.
- Versioned and verifiable — referencing the exact
artefactHashof the Listing version that was reviewed. - A signal to help Buyers compare Listings on disclosed signals.
An audit certificate IS NOT:
- A guarantee of the truthfulness, accuracy, currency, or fitness-for-purpose of any output the Listing produces.
- A warranty against bugs, hallucinations, biased output, factual errors, copyright issues, or any other problem in the Listing's content or behaviour.
- An endorsement of the Creator's business practices, claims, identity, or solvency.
- Proof that the Listing is suitable for any particular use case — including regulated, safety-critical, medical, legal, financial, or sovereign-data contexts.
- A substitute for your own due diligence, professional judgment, or sector-specific compliance review.
Trust Agent audits the configuration and behaviour spec of a Listing. We do not, and cannot, audit every possible output of a probabilistic AI system. Score thresholds (Platinum, Gold, Silver, Bronze, Advisory) are relative signals within the Trust Agent rubric — they are not certifications under any external standard or law.
4. Creators are solely responsible for their Listings
Each Creator is the sole and exclusive author, owner, and operator of the Listings they publish. Creators warrant that:
- They have the right to publish every component of their Listing (prompts, behaviour spec, knowledge bases, attached files, third-party content).
- The Listing complies with the Acceptable Use Policy and all applicable laws in every jurisdiction the Listing is offered to.
- Stated capabilities, hard limits, and refusal scenarios are honest and match observed behaviour.
- The Listing does not infringe any third party's intellectual property, privacy, publicity, or any other right.
Trust Agent is not responsible for the behaviour, output, content, accuracy, legality, or fitness for any purpose of any Listing. Liability for a Listing's output rests with the Creator and, where applicable, the Buyer who hired and configured it. See Section 7 (Limitation of Liability).
5. Buyers' responsibility
Buyers remain responsible for:
- Verifying any AI-generated output before relying on it for any decision with financial, legal, medical, safety, or reputational consequences. See the AI Output Disclaimer.
- The third-party LLM you connect (Bring-Your-Own key or local model). The audit applies to the Listing's prompt and behaviour spec, NOT to the LLM's output.
- Compliance with sector regulation in your jurisdiction (financial advice, medical advice, legal advice, child safeguarding, etc.).
- Securing your API keys, account credentials, and local installs against unauthorised use.
6. Disclaimer of warranties
The Platform, the marketplace, the audit pipeline, the badges, and every Listing accessible through the Platform are provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied. To the maximum extent permitted by law, AgentCore LTD disclaims all warranties including, without limitation:
- Merchantability, fitness for a particular purpose, accuracy, completeness, currency, and non-infringement.
- Any warranty regarding the truthfulness, behaviour, output, safety, security, performance, or legality of any third-party Listing.
- Any warranty that the Platform will be uninterrupted, error-free, or free from harmful components.
- Any warranty that the audit pipeline will detect every defect, vulnerability, malicious instruction, or compliance gap that may exist in a Listing.
Audits represent a best-effort review on a defined rubric at a defined point in time. They do not warrant that the Listing is bug-free, safe, accurate, or suitable for your use case.
7. Limitation of liability
To the maximum extent permitted by law:
- AgentCore LTD is not liable for any loss or damage arising from your use of, or reliance on, any Listing's output, behaviour, recommendation, or content. Liability for Listing output rests with the Creator and the Buyer.
- AgentCore LTD is not liable for indirect, incidental, special, consequential, exemplary, punitive, or aggravated damages — including without limitation loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings — arising out of or in connection with the Platform, the audit pipeline, any Listing, or these Terms.
- AgentCore LTD's total aggregate liability arising out of or in connection with these Terms, the Platform, the audit pipeline, or any Listing — across all claims of any kind — shall not exceed the greater of (a) the fees you paid AgentCore LTD for the relevant subscription period in which the cause of action arose, or (b) one hundred pounds sterling (£100).
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under English law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
8. Indemnification
You agree to indemnify, defend, and hold harmless AgentCore LTD, its directors, officers, employees, contractors, and agents from and against any claim, loss, liability, damage, fine, penalty, or expense (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms, the Acceptable Use Policy, or any applicable law.
- Any Listing you publish (if you are a Creator) — including third-party IP claims, misleading capability claims, or unsafe behaviour.
- Your use of any Listing's output (if you are a Buyer) in a regulated, safety-critical, or otherwise consequential context without independent verification.
- Any audit you sign as an Auditor in breach of the Auditor Code of Conduct.
9. Account, suspension, termination
We may suspend or terminate access to the Platform without notice for breach of these Terms, the AUP, applicable law, or any reasonable safety / fraud / abuse concern. We will normally provide notice and a window to remedy minor breaches; severe breaches may be enforced immediately.
You may close your account at any time. Sections 3 (audit-certificate scope), 4 (Creator responsibility), 6 (warranty disclaimer), 7 (limitation of liability), 8 (indemnification), and 12 (governing law) survive termination.
10. Pricing, billing, refunds
Subscription pricing is published at /pricing. Changes are communicated with at least 14 days' notice and only take effect at your next renewal. Refunds follow the published refund window for the relevant SKU. Stablecoin payment intents are chain-specific and must be funded with the configured token + chain instructions; ledger and reconciliation records are retained for platform auditability.
11. Verification ownership
AgentCore LTD owns the audit-pipeline software, scoring rubric, badge marks, audit certificates, and the verification records produced by the Platform. AgentCore LTD does not claim ownership of third-party Listing content (prompts, behaviour spec, knowledge bases) — those remain the property of their respective Creators under the licence granted in the Creator Agreement.
12. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, save that AgentCore LTD may seek injunctive relief in any competent jurisdiction to protect its intellectual property.
13. Changes to these Terms
We may update these Terms as the Platform and the regulatory landscape evolve. Material changes are communicated via in-app notice at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance. The Last Updated date at the top of this page reflects the most recent change.
